Terms of Service

About. IntBizDev (“we”, “us”) provides subscription software-as-a-service that delivers AI-assisted international business development tools, including a web dashboard, weekly advisor emails, CRM-Lite, meeting and pitch coaching, and related features (the “Service”).

1. Accounts, Seats & Access

Each subscription includes a maximum number of named users (“Seats”). Seats are personal and may not be shared. The account owner can invite, revoke, or reassign Seats. You are responsible for all activity under your account and must keep access secure.

2. Subscriptions, Billing & Cancellations

Subscriptions are charged at checkout and auto-renew monthly (or annually if selected) until cancelled via the Customer Portal. Cancellations take effect at the end of the current billing period. We do not ship physical goods.

Refunds. We don’t offer automatic refunds. We may issue discretionary refunds for clear service errors or duplicate charges. Applicable consumer rights are not affected where mandatory by law.

Taxes. Prices may exclude VAT/GST and other taxes which will be added where applicable.

3. Fair Use & Limits

Plans include monthly usage allowances (e.g., tokens, requests). We may apply reasonable rate limits, warnings at 70%/90% of allowance, and a hard stop at 100% until the next cycle or upgrade. Automated scraping or attempts to bypass limits are prohibited.

4. Acceptable Use

  • No unlawful, infringing, or deceptive activity; no spam or unsolicited bulk messaging.
  • No attempts to disrupt, overload, reverse engineer, or circumvent security or billing.
  • No uploading of content that is illegal, harmful, or violates third-party rights.
  • No use in violation of export controls or sanctions.

5. Your Content & Our Licence

You retain ownership of content you provide. You grant us a non-exclusive licence to process your content to operate and improve the Service. We may use aggregated and de-identified data for analytics and Service improvement. You must ensure you have rights to submit any third-party data you upload.

6. Third-Party Services

The Service integrates third-party providers (e.g., payment processing via Stripe; email delivery via Amazon SES; AI model APIs). We are not responsible for third-party terms or outages. We do not store full payment card details.

7. AI Output & Guidance

AI outputs may be inaccurate or incomplete. You are responsible for independently evaluating outputs before relying on them. The Service does not provide legal, tax, accounting, or investment advice.

8. Availability & Support

We aim for high availability but do not guarantee uninterrupted Service. We may modify features or limits. We offer reasonable email support during business hours.

9. Intellectual Property

The Service, software, and brand elements are our IP or our licensors’. These Terms do not grant you any IP rights except the limited right to access the Service for your internal business purposes during a valid subscription.

10. Confidentiality

We will treat non-public information you provide as confidential and use it only to deliver the Service, except where disclosure is required by law or with your consent.

11. Data Protection

We process personal data in accordance with our Privacy Notice. Where required, we will offer a data processing addendum for eligible business customers.

12. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

13. Liability

To the maximum extent permitted by law, we exclude indirect or consequential losses and limit our total liability for all claims in a subscription period to the fees paid for that period. Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

14. Termination

We may suspend or terminate access if you materially breach these Terms or applicable law. Upon termination, your right to use the Service ceases; certain sections survive (including 5, 9, 10, 12–15).

15. Changes

We may update these Terms. Material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance.

16. Governing Law & Venue

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the law of Scotland. The courts of Scotland shall have exclusive jurisdiction to settle any dispute or claim, except where mandatory law provides otherwise.
